Vista Outdoor will pay a total purchase price of $74 million for Camp Chef, comprised of $60 million in cash paid at closing and $14 million in cash to be paid out in equal installments on the first, second and third anniversaries of the closing date, subject to certain conditions described below. However, the effective purchase price is lower, due to value created by certain tax assets resulting from the transaction and the deferred purchase price structure, leading to an effective multiple of approximately 6.4x Camp Chef's expected calendar year 2016 EBITDA. Vista Outdoor financed the purchase price paid at closing using borrowings under its existing revolving credit facility. Vista Outdoor expects the acquisition to be slightly accretive to FY17 earnings per share (EPS), including impacts associated with transaction expenses. A majority of the payment of $14 million of deferred purchase price will be contingent on continued employment of key members of management and certain other conditions. As a result, Vista Outdoor plans to record the payments conditioned on continued employment as a compensation expense in future periods in accordance with GAAP. However, for purposes of presenting certain non-GAAP financial measures, including adjusted EPS, Vista Outdoor expects to treat those deferred payments as deferred purchase price and will therefore adjust the payments out of its financial results in future periods as payments are made. But as said, there are a few things we don’t like; it’s relatively small, doesn’t have a lot cooking space, and the design feels cramped. At the same time, it’s still relatively heavy at 140 lbs. For the same price, you could choose the Z-Grills Master 700D, which packs almost 25% more surface area on the rack. That doesn’t seem like much but is a significant amount of room.  Or you could just spring for the Traeger Pro 22. There have also been reports of poor quality control, and that the temperature control is very inconsistent, often swinging up and down nearly 30 or 40 degrees.
Compared to the Traeger Pro and the other smokers we’ve reviewed, there’s not much not to like about this bad boy. It’s significantly cheaper, packs ample cooking space, and a good, consistent temperature controller. At 173 lbs, it is quite heavy, and not at all portable like the Davy Crocket, and we’d love to see it come with more precise temperature control, and maybe even WiFi in the future. But for the price, it’s a beast of smoker that is almost as good as the Traeger.

Brad Barrett at Grill Grates makes a fantastic product. Reverse searing 2″ steaks and chops (or thicker) works great on pellet smokers as you can get the internal temp up to 10-15 degrees below your desired finish temp, remove them and loosely wrap / cover in foil, crank up the smoker with the grates on to say, 400 degrees, and then sear off your protein getting great grill marks with little to no sticking at all. Cleaning and Maintenance: Keeping the grill clean is critical if you need to get the most out of the unit. Old debris can influence the viability of the unit thus normal cleaning is vital. In addition, while moving it around, take alert not to thump it since it accompanies little legs which can without much of a stretch tip over the unit when thumped.
Food not cooking evenly or at desired times: It’s worth checking out the health of the fans in your pellet grill. Usually, if the fan is unable to distribute the heat properly throughout the whole smoker, these problems occur. Fans are relatively inexpensive and very easy to replace. Even if you see the fan working and still getting these problems, it might be that the fan is working intermittently or at slower speeds that it needs to. Have it replaced: it would be the best course of action and won’t be heavy on your wallet.

Thank you for a very comprehensive review and all the helpful advice. I would like to know your thoughts about having the burn pot in the center area as in the Rec-Tec, or on the side. My only interest is smoking, not grilling, and I prefer even heat throughout the cooking chamber. How much difference does the location of the burn pot make? Thank you very much.
In the second year, the grill quit working. The auger turns and the heating rod gets hot but the grill shuts itself off within minutes. I think it is the controller but I've had the same experience as others: emails and phone calls to Traeger's customer service are unanswered. My wife just wants to return it to Costco but I'd rather fix it. Given the lack of response and the poor quality of the electronics, I'm starting to come around to my wife's point of view.
